AMD said it has already obtained the necessary approval from the authorities to take over Xilinx. The deal will be completed on February 14, which is Valentine’s Day.

The necessary authorities have given their approval, so the standard closing conditions remain in place before the transaction is completed. The final transaction price for all shares is $54 billion (at current valuations).

AMD already announced its acquisition of Xilinix in October 2020. There was a short delay in the proceedings at the end of last year, but the deal was ultimately successful. And even smooth if we compare it to Nvidia’s failed attempt to take over Arm.

In October 2020, this will be a $35 billion acquisition. Xilinx shareholders will receive 1.7234 AMD shares for each Xilinx share they hold upon closing of the transaction. Let’s add that this is an all-share transaction, i.e. based only on stocks. Originally, the deal value was $143. per Xilinx share, but at the time, AMD shares were worth about $85. The piece is now worth over $130. This is an increase of 53%. For this reason, the acquisition will be more valuable – not $35 billion, but $54 billion.

Xilinx is a technology company known primarily for its FPGA chips, which are very important to AMD and complement their GPU, APU, and SoC technology.

Dr. Lisa Su, CEO of AMD, explained the acquisition in terms of her desire to “establish AMD as a leader in the high-performance computing industry.” She added that the acquisition of Xilinx is “a compelling combination that will create significant value for all stakeholders”.

Previously, Xilinx worked closely with AMD on several projects.
